Terms of Service

Last updated 20 October 2026

1. These terms

mrmeeseeks.app and the Mr. Meeseeks software (together, the “Service”) are provided by Metatheory Inc. (“Metatheory”, “we”, “us”). By creating an account, installing the software, or using the Service, you agree to these Terms of Service. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you confirm that you are authorized to accept these terms for that organization.

2. What the Service is

Mr. Meeseeks is a local-first tool for AI agent memory and orchestration. The application runs on your own computer and stores your memory, conversation history and project data in files on that computer, by default under your home directory.

Some features are optional and hosted by us, including account sign-in, credits and billing, and a hosted model-routing and summarization service that forwards requests to third-party model providers on your behalf. Hosted features only run when you choose to use them. You may instead supply your own provider API keys and use the Service without our hosted routing.

The Service is in active development and is offered as a developer preview. Features may change or be withdrawn.

3. Accounts

You need an account for hosted features. You must give accurate information, keep your credentials and API keys secret, and are responsible for everything done through your account. Tell us promptly at support@mrmeeseeks.app if you believe your account or a key has been compromised.

You must be old enough to enter a contract where you live, and at least 13 years old. The Service is not intended for children.

4. Acceptable use

You agree not to:

  • break the law, or infringe anyone's intellectual property, privacy or other rights;
  • import, store or process data you do not have the right to use, including other people's conversations or credentials;
  • attack, overload, probe or interfere with the Service or its infrastructure, or try to reach accounts, data or systems that are not yours;
  • resell, sublicense or redistribute hosted capacity or credits, or use the Service to build a substantially similar competing hosted service;
  • evade usage limits, metering or billing, including by sharing one account across unrelated users;
  • use the Service to generate or distribute malware, spam, or material that exploits or endangers children;
  • violate the terms or usage policies of a third-party model provider whose models you reach through the Service.

We may apply rate limits, quotas and other technical limits, and may change them.

5. Your content

You keep all rights in the data you create, import or process with the Service (“Your Content”). We claim no ownership of it.

Your Content stays on your computer unless you use a hosted feature that needs to send it to us. When you do, you grant us a limited licence to process and transmit that content solely to operate the Service for you, including forwarding it to the model provider you have selected. How we handle it is described in the Privacy Policy.

You are responsible for your own backups. Deleting local files deletes the data in them; we cannot recover data we never held.

6. Third-party services

Hosted features depend on third parties, including large-language-model providers such as Anthropic and OpenAI, infrastructure and payment providers. Your use of their models through the Service is also subject to their terms. We do not control those services and are not responsible for their acts, outages or output.

7. Credits, subscriptions and billing

Hosted usage may be paid for with credits or a subscription. Prices, credit packs and included allowances are shown at the point of purchase and may change for future purchases.

  • Credits are a prepaid balance for hosted usage. Some credits expire on the date shown when you buy them; expired credits are forfeited.
  • Credits have no cash value, are not a deposit, and are not transferable or redeemable for money except where the law requires it.
  • Subscriptions renew automatically for the stated period until you cancel. You can cancel at any time; cancellation takes effect at the end of the current period.
  • Charges are final and non-refundable except where the law requires a refund, or where we choose to give one.
  • Prices exclude taxes unless stated. You are responsible for applicable taxes.
  • Usage is metered by our records. If payment fails or a balance runs out, hosted features may stop until it is resolved.

If you use your own provider API keys, you pay that provider directly and we do not bill for that usage.

8. Our intellectual property

We and our licensors own the Service, including the software we distribute, the site, and our names and logos, except for components licensed to you under separate open-source terms, which continue to apply. Subject to these terms, we grant you a personal, non-exclusive, non-transferable right to use the Service. You may not remove proprietary notices, or reverse engineer the Service except where the law allows it.

If you send us feedback, we may use it without obligation to you.

9. Suspension and termination

You may stop using the Service at any time and may ask us to close your account by writing to support@mrmeeseeks.app.

We may suspend or terminate your access, with or without notice, if you breach these terms, if your use puts the Service, us or others at risk, if we are required to by law, or if we stop offering the Service. When your account ends, unexpired credits are forfeited unless the law says otherwise. Your local files remain yours and stay on your computer.

10. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements, or that memory, summaries or model output will be accurate, complete or suitable for any purpose.

Model output is generated by software and can be wrong. You are responsible for reviewing it before relying on it, especially for decisions with legal, financial, medical, safety or employment consequences. The Service is not a professional adviser and is not a medical device.

Do not use the Service to process protected health information, payment card data, government-issued identifiers or other regulated data that requires a compliance programme we do not offer. We have no HIPAA business associate agreement in place and make no HIPAA, PCI or similar compliance claims.

11. Limitation of liability

To the fullest extent permitted by law, neither Metatheory nor its officers, employees or suppliers is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, or lost or corrupted data, however caused and on any theory of liability.

To the fullest extent permitted by law, our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the three months before the event giving rise to the claim, or US$100.

Some jurisdictions do not allow certain exclusions or limits; in those places the exclusions and limits apply only as far as the law allows.

12. Indemnity

You agree to indemnify and hold Metatheory harmless against claims, damages and costs, including reasonable legal fees, arising from your use of the Service in breach of these terms or of the law, or from Your Content.

13. Changes to these terms

We may change these terms. We will update the date above and, for material changes, give notice by a reasonable means such as the site or email. Changes apply from the date they are posted; continuing to use the Service after that means you accept them. If you do not accept a change, stop using the Service and close your account.

14. Governing law and disputes

These terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in Chicago, Illinois have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. Nothing here removes rights you have under the mandatory law of your own country of residence.

15. General

These terms, with the Privacy Policy, are the whole agreement between us about the Service. If a provision is unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
